1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and GoDealPro LLC ("Go Deal Pro," "Company," "we," "us," or "our"), governing your access to and use of the website located at godealpro.com, including any mobile applications, APIs, and related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules posted on the Platform. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least thirty (30) days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least eighteen (18) years of age and have the legal capacity to enter into binding contracts to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms and that the entity agrees to be bound by these Terms.

3. Description of Services

Go Deal Pro is an online advertising and marketing platform where property sellers (including wholesalers, landlords, and for-sale-by-owner sellers) can advertise properties and real estate investors, flippers, and cash buyers can discover those advertisements. The Platform provides tools for posting property advertisements, searching listings, expressing interest via non-binding offers, in-app messaging, Buy Box notification preferences, analytics, and subscription-based premium features.

Go Deal Pro is an advertising platform only. We are not a real estate brokerage, and we are not a party to any real estate transaction.

We do not act as a real estate broker, agent, appraiser, inspector, title company, escrow agent, lender, or attorney. We do not negotiate transaction terms, facilitate closings, handle escrow funds, or participate in any aspect of a real estate transaction. We do not verify the accuracy of listings, guarantee the condition or legal status of any property, or provide legal, tax, or financial advice. All transactions are conducted directly between buyers and sellers outside of the Platform, and you assume full responsibility for your participation in any transaction.

Go Deal Pro generates revenue exclusively through flat-rate subscription fees for access to Platform features. We do not charge commissions, referral fees, or transaction-based fees of any kind. Our revenue is entirely independent of whether any transaction occurs between users.

3.1 User Licensing Responsibility

You are solely responsible for complying with all applicable federal, state, and local laws and regulations governing real estate transactions, including but not limited to real estate licensing laws, wholesaling regulations, contract assignment rules, and disclosure requirements in your jurisdiction.

Some states require a real estate license to market properties, assign contracts, or act as an intermediary in real estate transactions. Go Deal Pro does not verify whether you hold any required licenses or permits, and your use of the Platform does not constitute authorization to engage in activities that require licensure in your jurisdiction.

By using the Platform, you represent and warrant that your use complies with all applicable laws and that you hold any licenses or permits required for your activities. Go Deal Pro is not liable for any legal consequences arising from your failure to comply with applicable licensing or regulatory requirements. Go Deal Pro makes no representation as to whether any specific use of the Platform requires licensure in any jurisdiction and expressly recommends that users consult qualified legal counsel in their jurisdiction before engaging in any real estate marketing or wholesaling activity.

4. Account Registration and Security

To access certain features of the Platform, you must create an account by providing accurate, current, and complete information. You agree to update your account information promptly if it changes.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately at hello@godealpro.com if you suspect any unauthorized access to or use of your account.

We reserve the right to suspend or terminate any account that we reasonably believe has been compromised, is being used fraudulently, or violates these Terms.

5. Subscription Plans and Payments

5.1 Free and Paid Plans

The Platform offers a free tier with limited features and paid subscription plans ("Pro" and "Business") with enhanced functionality, as described on our Pricing page. Feature availability, listing limits, and pricing are subject to change with thirty (30) days' notice to existing subscribers.

5.2 Billing and Recurring Charges

Paid subscriptions are billed on a monthly recurring basis through our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis until you cancel. All fees are stated in U.S. dollars.

5.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation, your paid features will remain active until the end of the current billing period. No partial or prorated refunds will be issued for the unused portion of any billing period.

5.4 Refunds

All subscription payments are non-refundable except where required by applicable law or at our sole discretion. Refund requests may be submitted to hello@godealpro.com and will be reviewed on a case-by-case basis.

5.5 Price Changes

We may adjust subscription pricing from time to time. Price increases will take effect at the start of your next billing cycle following at least thirty (30) days' written notice. If you do not agree to a price change, your sole remedy is to cancel your subscription before the new pricing takes effect.

6. User Content and Listings

6.1 Your Content

"User Content" means any information, data, text, photographs, documents, or other materials that you upload, post, or transmit through the Platform, including but not limited to property listings, offer documents, messages, profile information, and proof-of-funds documentation.

6.2 License Grant

By posting User Content on the Platform, you grant Go Deal Pro a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and create derivative works of your User Content solely for the purpose of operating, promoting, and improving the Platform. This license terminates when you delete your User Content or your account, except to the extent that copies have been shared with other users or are retained for legal compliance.

6.3 Accuracy and Responsibility

You represent and warrant that: (a) you own or have all necessary rights to post your User Content; (b) your User Content is accurate, truthful, and not misleading; (c) your User Content does not violate any applicable law, regulation, or third-party right; and (d) you have the legal right to list, sell, or assign any property or contract you post on the Platform.

6.4 Listing Photos

Each listing must include at least one photo, and all photos uploaded to a listing must depict the actual property being listed. The primary photo must show the property exterior, interior, or a related property feature (such as the lot, view, or attached structures).

Photos must not (a) misrepresent the property or its condition; (b) display unrelated subjects, including people, animals, vehicles, personal items, screenshots, memes, logos, or stock images unrelated to the property; (c) use watermarked, copyrighted, or third-party images without authorization from the rights holder; or (d) contain offensive, sexually explicit, or otherwise inappropriate content. Listings that violate these photo requirements may be suspended pending correction. Repeated or willful violations may result in account suspension under Section 13.

6.5 Listing Expiration

Listings expire automatically after thirty (30) days unless renewed by the User. Expired listings are removed from public search results and are only visible to the listing owner and administrators.

6.6 No Duty to Monitor

Go Deal Pro has no obligation to monitor, review, screen, or edit User Content, including but not limited to listings, messages, offers, profile information, and uploaded documents. Any review, moderation, or enforcement action we voluntarily undertake — including duplicate listing dispute resolution, listing suspension, user suspension, or content removal — is performed at our sole discretion and does not create a duty to monitor, an obligation to take further action, or liability for any failure to act.

You acknowledge that Go Deal Pro cannot and does not guarantee the accuracy, integrity, quality, or legality of any User Content, and that you bear all risk associated with your use of or reliance on any User Content.

6.7 Joint Venture and Equitable Interest Listings

Users may list properties pursuant to joint venture agreements, equitable interest contracts, or other arrangements that convey the right to market or assign a property without holding title. Go Deal Pro does not verify the existence, validity, or enforceability of any such agreement.

By listing a property under such an arrangement, you represent and warrant that your agreement grants you the legal right to market and assign the property and that you have disclosed the nature of your interest accurately. Go Deal Pro is not responsible for any dispute arising between a contract holder and a property owner regarding the right to list or assign any property.

7. Prohibited Conduct

You agree not to:

  • Post false, misleading, or fraudulent listing information, including inaccurate property details, fabricated ownership claims, or misleading pricing.
  • List properties you do not own or have the contractual right to sell or assign.
  • Use the Platform for any illegal purpose, including but not limited to money laundering, wire fraud, or schemes to defraud buyers or sellers.
  • Harass, threaten, defame, or intimidate other users through messages, offers, or any other communication.
  • Scrape, crawl, or use automated means to extract data from the Platform without our written consent.
  • Circumvent, disable, or interfere with any security, rate-limiting, or access-control features of the Platform.
  • Impersonate another person or entity, or falsely represent your affiliation with any person or entity.
  • Use the Platform to distribute spam, unsolicited commercial messages, or malware.
  • Attempt to reverse-engineer, decompile, or disassemble any software or technology underlying the Platform.
  • Manipulate reviews, ratings, badges, or any other trust or reputation feature.
  • Create multiple accounts to circumvent listing limits, subscription restrictions, or enforcement actions.
  • Use the Platform in any manner that could damage, disable, overburden, or impair our servers or networks.
  • Use the Platform in violation of the Fair Housing Act, the Equal Credit Opportunity Act, or any other federal, state, or local anti-discrimination law, including using search filters, Buy Box criteria, or any other Platform feature for the purpose of discriminating against any person or group based on race, color, religion, national origin, sex, familial status, disability, or any other protected class.

7.1 Fair Housing Compliance

Go Deal Pro supports and is committed to the principles of the federal Fair Housing Act and all applicable state and local fair housing laws. The Platform is designed for real estate investment transactions — connecting property sellers with investors, cash buyers, and other real estate professionals. Geographic and property-based search filters (including Buy Box criteria) are provided solely to help users identify properties that meet their investment objectives.

You agree that you will not use any feature of the Platform to discriminate in the sale, rental, or financing of housing based on race, color, religion, national origin, sex, familial status, disability, or any other characteristic protected by applicable law. Violations of this policy may result in immediate account termination and may be reported to the appropriate authorities.

8. Offers, Transactions, and Disputes Between Users

The Platform enables buyers to submit non-binding expressions of interest ("offers") and sellers to respond to those expressions of interest. All offers, counteroffers, and related communications exchanged through the Platform are preliminary negotiations between users and do not constitute binding contracts, purchase agreements, or enforceable commitments unless and until a separate written agreement is executed between the parties outside of the Platform.

No offer, counteroffer, acceptance, or other communication submitted through the Platform constitutes a binding purchase and sale agreement, option contract, right of first refusal, or enforceable commitment of any kind under any applicable law, regardless of how such communication is labeled or characterized by either party. A binding agreement may only be formed through a separate written contract executed by both parties outside of the Platform.

Go Deal Pro does not negotiate transaction terms on behalf of any user, does not facilitate or attend closings, does not hold or transfer funds, and does not act as an intermediary or agent in any transaction. The Platform's Buy Box notification feature is an automated advertising alert based on user-defined preferences — it is not a brokerage referral, deal facilitation, or matchmaking service.

Go Deal Pro is not a party to any transaction between users. We do not guarantee that any transaction will be completed, that any party will perform its obligations, or that any property will be transferred. You agree that Go Deal Pro has no liability for any dispute, loss, or damage arising from transactions between users.

Users are responsible for conducting their own due diligence, including verifying property ownership, title status, liens, encumbrances, zoning, condition, and legal compliance before entering into any transaction. You should consult with a licensed attorney and/or licensed real estate professional before entering into any real estate transaction.

You should not rely on any information provided by other users on the Platform — including property descriptions, photographs, pricing, condition assessments, ownership claims, or any other representations — as accurate, complete, or current. All information on the Platform is provided by users and has not been independently verified by Go Deal Pro.

By using the Platform, you acknowledge and assume all risks associated with interacting with other users and participating in real estate transactions, including the risk of fraud, material misrepresentation, non-performance, financial loss, and disputes. Go Deal Pro is not responsible for the actions, omissions, or conduct of any user on or off the Platform, whether related to a transaction initiated through the Platform or otherwise.

9. Verification and Trust Badges

The Platform offers Verified and Trusted badges to qualifying users based on our internal review process. These badges indicate that a user has met certain criteria established by Go Deal Pro at the time of review.

Badges are not endorsements, guarantees of identity, or warranties of trustworthiness.

Go Deal Pro makes no representation about the financial condition, legal standing, or business practices of any badged user. You should always conduct your own due diligence before entering into any transaction, regardless of whether a user has a badge. Badges may be revoked at any time at our sole discretion, including upon subscription downgrade or violation of these Terms.

10. Duplicate Listing Disputes

If you believe another user has listed a property that you own or have the contractual right to sell, you may submit a duplicate listing dispute through the Platform. You must provide an explanation, supporting documentation (such as a deed, contract, or listing agreement), and any other evidence of your claim.

Existing listings remain visible and active during the dispute review period to protect sellers from false claims. Our administrative team will review the evidence provided by both parties and issue a resolution, which may include transferring ownership of the listing, dismissing the dispute, or archiving the listing.

Go Deal Pro's resolution of duplicate listing disputes is final and binding as it relates to Platform listing rights. Our dispute resolution process does not determine legal ownership of any property and is not a substitute for legal proceedings.

11. Intellectual Property

The Platform and all its original content (excluding User Content), features, functionality, and underlying technology — including but not limited to the software, design, text, graphics, logos, trademarks, and service marks — are and shall remain the exclusive property of GoDealPro LLC and its licensors, protected by copyright, trademark, trade secret, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Platform or our intellectual property, except for the limited right to use the Platform in accordance with these Terms.

12. Copyright Infringement (DMCA)

If you believe that any content on the Platform infringes your copyright, please send a written notice to our designated agent at hello@godealpro.com containing: (a) a description of the copyrighted work; (b) the location of the allegedly infringing material on the Platform; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; and (e) a statement under penalty of perjury that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

We will respond to valid DMCA notices in accordance with the Digital Millennium Copyright Act and may remove or disable access to the allegedly infringing material.

13. Third-Party Services

The Platform may integrate with or contain links to third-party services, including payment processors, cloud hosting and authentication providers, email delivery services, and SMS notification providers. Your use of these third-party services is governed by their respective terms of service and privacy policies. Go Deal Pro is not responsible for the availability, accuracy, or practices of any third-party service and shall not be liable for any loss or damage arising from your use of them.

14. Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by applicable law, Go Deal Pro expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, and uninterrupted availability.

Without limiting the foregoing, we do not warrant that:

  • Any listing, property information, or user-provided content is accurate, complete, current, or reliable.
  • Any property listed on the Platform is free of liens, encumbrances, title defects, code violations, or environmental hazards.
  • Any user (including badged users) is who they claim to be or will perform their obligations in any transaction.
  • The Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
  • The results obtained through the Platform will be accurate or reliable.
  • Any user will act in good faith, comply with applicable law, or fulfill any commitment, promise, or obligation made on or off the Platform.

You expressly agree that your use of the Platform is at your sole risk. You should independently verify all information — including property details, pricing, ownership, title, and legal status — before making any financial commitment or entering into any transaction. Any reliance you place on information obtained through the Platform is strictly at your own risk.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GO DEAL PRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO GO DEAL PRO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Go Deal Pro, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your User Content; (d) any transaction or dispute between you and another user; (e) your violation of any applicable law or third-party right; or (f) any misrepresentation made by you regarding any property, contract, or other matter.

17. Arbitration and Dispute Resolution

17.1 Informal Resolution

Before filing any formal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at hello@godealpro.com. We will attempt to resolve the dispute within sixty (60) days of receipt of your notice.

17.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator via remote/virtual hearing unless both parties agree to an in-person location. If in-person arbitration is required by the arbitrator, it shall be conducted in a location mutually agreed upon by the parties, or if no agreement is reached, in the county of the claimant's residence.

17.3 Class Action Waiver

YOU AND GO DEAL PRO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

17.4 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights. Claims eligible for small claims court may be brought in small claims court in lieu of arbitration.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict-of-law principles. To the extent that litigation is permitted under these Terms, the exclusive jurisdiction and venue shall be the state and federal courts located in Cook County, Illinois.

19. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, including but not limited to cases where we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users or the Platform.

You may delete your account at any time through your account settings. Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6.2 (License Grant), 14 (Disclaimer), 15 (Limitation of Liability), 16 (Indemnification), and 17 (Arbitration).

Upon account deletion, we will delete or anonymize your personal data in accordance with our Privacy Policy, except where retention is required by law or necessary for legitimate business purposes (such as resolving disputes or enforcing agreements).

20. Electronic Communications

By creating an account, you consent to receive electronic communications from us, including emails, push notifications, SMS messages (for eligible subscription tiers), and in-app notifications. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

You may opt out of marketing and promotional communications at any time by using the "Unsubscribe" link included in every email, or by managing your notification preferences in your account settings. Opt-out requests will be honored within ten (10) business days in accordance with the CAN-SPAM Act.

Transactional messages — such as account security alerts, billing confirmations, password resets, and verification codes — cannot be opted out of while your account is active, as they are necessary for the operation and security of your account.

20.1 SMS Communications and TCPA Compliance

Go Deal Pro sends SMS notifications only to users who have provided prior express written consent at the time of opt-in. By opting in to SMS notifications, you consent to receive recurring automated text messages from Go Deal Pro at the phone number you provide. Message frequency varies based on your subscription tier and marketplace activity. Message and data rates may apply.

You may opt out at any time by replying STOP to any SMS message. Reply HELP for assistance. Opting out of SMS will not affect your ability to use the Platform or receive email and in-app notifications.

21. Cookies and Tracking Technologies

The Platform uses cookies and similar tracking technologies as described in our Privacy Policy. By using the Platform, you consent to our use of cookies in accordance with our Privacy Policy. You may manage cookie preferences through your browser settings, though disabling certain cookies may affect Platform functionality.

22. Severability

If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.

23. Waiver

No failure or delay by Go Deal Pro in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any provision on one occasion shall not be deemed a waiver of that provision or any other provision on any subsequent occasion.

24. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published on the Platform, constitute the entire agreement between you and Go Deal Pro regarding your use of the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.

25. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Go Deal Pro may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.

26. Force Majeure

Go Deal Pro shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, internet or telecommunications failures, cyberattacks, power outages, or disruptions to third-party services.

27. AI-Powered Features

27.1 Nature of AI Features

The Platform includes AI-powered features, including but not limited to the Kash assistant, conversational search, and automated marketplace filtering (collectively, "AI Features"). AI Features are powered by artificial intelligence and machine learning technologies. You acknowledge that you are interacting with automated systems, not human representatives, when using AI Features.

27.2 Informational Purposes Only

All responses, recommendations, search results, and other outputs generated by AI Features are provided for general informational and convenience purposes only. AI Features are not a substitute for professional advice. AI-generated outputs do not constitute legal, financial, tax, investment, appraisal, or real estate brokerage advice and should not be relied upon as such.

27.3 No Guarantee of Accuracy

AI-generated outputs may be inaccurate, incomplete, outdated, or inappropriate for your specific situation. Go Deal Pro does not warrant the accuracy, completeness, reliability, or suitability of any AI-generated output. You are solely responsible for evaluating and verifying any information provided by AI Features before making any decision, including any decision related to a real estate transaction.

27.4 Limitation of Liability for AI Features

Without limiting the general disclaimers and limitations of liability in Sections 14 and 15 of these Terms, Go Deal Pro shall not be liable for any loss, damage, or claim arising from your use of or reliance on AI-generated outputs, including but not limited to inaccurate search results, incorrect property information, erroneous calculations, or any recommendation that proves unsuitable for your circumstances.
